Company liquidation in Dubai and the UAE

Garant Business Consultancy helps owners plan and coordinate company closure: the registrar’s procedure, outstanding obligations, accounting and tax deregistration. The route depends on the company’s jurisdiction, legal form and actual position — not on a universal closure package.

Closing the company, not simply stopping its activity

An unused licence or a decision not to renew it does not, by itself, close a company or end its obligations. Liquidation requires the formal procedure. Selling shares, selling assets and closing the legal entity are different decisions.

If you are still choosing between a sale, liquidation and a pause, read our guide to exiting a UAE business. This service focuses on organising the closure route once liquidation is being considered.

Start with the company’s actual position

Before agreeing the work, we establish where the company is registered, its legal form and licence status, and what remains to be settled. The initial review covers:

  • Corporate documents, ownership details and authorised signatories.
  • Accounting records, assets, receivables, debts and outstanding tax matters.
  • Employees, visas and any owner residence status linked to the company.
  • Bank accounts, leases, contracts and other commitments.
  • Existing disputes or restrictions that could affect closure.

A company that cannot meet its liabilities needs a separate assessment. Ordinary voluntary liquidation should not be presented as a way to avoid creditors or as a universal solution to insolvency.

Registrar, accounting and tax: connected work, separate procedures

Mainland and free-zone closure requirements are not interchangeable. Depending on the closure procedure, the work may involve an owners’ resolution, a liquidator, notices, creditor settlements and final documents. The registrar’s requirements must be checked for the particular company.

Accounting and tax work should be planned alongside the corporate procedure. Closing a licence does not automatically cancel Corporate Tax or VAT registration. Filings, payments and deregistration applications need to be addressed separately, with the obligations identified for the company.

For a juridical person registered for Corporate Tax, the deregistration application must be filed within three months of the date the entity ceases to exist, ceases its business, is dissolved or liquidated, under Article 2(2) of FTA Decision No. 6 of 2023. This is a deadline to apply, not a promise that deregistration or liquidation will be completed within that period. For VAT, where mandatory deregistration is triggered, the application deadline is shorter: twenty business days from that triggering event. The exit guide explains the separate conditions and steps.

Banking, employment and contractual matters also need a workable sequence. For example, collecting receivables and settling outstanding amounts should be considered before closing the bank account. The owner’s visa position should not be assumed to resolve itself with the company’s closure.

How Garant can help

The engagement can cover:

  • Mapping the closure route and identifying missing information.
  • Coordinating the agreed corporate steps and registrar submissions.
  • Identifying when a liquidator or other specialist needs to be involved.
  • Coordinating accounting records, final reporting and tax deregistration work within the agreed scope.
  • Tracking outstanding banking, employee, visa and contractual actions.
  • Collecting closure confirmations and identifying records that must be retained.

The proposal specifies the work Garant will perform, the documents and decisions required from the client, and any separately appointed specialists. A submitted application is not the same as completed deregistration; completion is checked against the relevant confirmations.

How the cost is structured

The proposal distinguishes the registrar’s or free zone’s charges from Garant’s fee for the agreed support. Where relevant, liquidator, audit or other third-party charges are identified separately. Outstanding debts, taxes, penalties and contractual settlements are not assumed to be included in the support fee.

The scope is agreed after reviewing the company’s position. We do not quote a universal fee or promise a standard completion period for every jurisdiction.

Frequently asked questions

Can I close a company that has not traded?

Yes. A company that has not traded still needs to complete the registrar’s closure procedure. If it is registered for Corporate Tax or VAT, its tax obligations and deregistration must also be addressed.

Does liquidation automatically close the tax registrations?

No. Registrar closure and tax deregistration are separate procedures. The relevant applications, returns and payments must be assessed and completed as applicable.

Do all companies need the same documents and liquidator?

No. Requirements depend on the jurisdiction, legal form and procedure. These are checked before the engagement scope is agreed.

What should I bring to the first discussion?

Start with the company’s jurisdiction, legal form, licence status and your intended outcome. Tell us about known debts, tax registrations, employees, visas and bank accounts. Detailed document preparation is a separate stage of work.
